These Terms of Use (“Terms”) govern your access to and use of the Pantheon Digital website, digital services, software products and related online services operated by Pantheon Digital Private Limited (“Pantheon Digital”, “we”, “us” or “our”).
By accessing or using our website or applicable services, you acknowledge that you have read and understood these Terms and agree to be bound by them.
Where you enter into a separate agreement, order form, statement of work, subscription agreement or other written contract with Pantheon Digital, that agreement will govern the relevant services to the extent of any inconsistency with these Terms.

Proprietary Technology Products
Pantheon Digital develops and operates proprietary technology products and platforms, including EcoTrace One and Zfour HRMS, together with other products developed by Pantheon Digital.
Use of individual products may be subject to additional product-specific terms, subscription terms or customer agreements.
Australia Customer Acquisition Operations
Pantheon Digital also operates Australia-focused customer acquisition and contact centre activities across areas that may include:
- Energy and utilities
- Insurance
- NBN and telecommunications
- Solar and related services
Specific customer acquisition campaigns are governed by the applicable client agreement, campaign instructions and other contractual terms.
2. Acceptance of These Terms
By accessing or using the Pantheon Digital website or applicable services, you agree to these Terms.
If you are using the services on behalf of a company, organisation or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree with these Terms, you should not use the applicable website or services.
3. Eligibility & Authorised Use
You agree to use the Pantheon Digital website and services only for lawful purposes and in accordance with these Terms.
You must not:
- Use the website or services for unlawful, fraudulent or malicious activities.
- Attempt to gain unauthorised access to our systems.
- Interfere with or disrupt our website, infrastructure or services.
- Introduce malicious code, malware or other harmful material.
- Attempt to circumvent security or access controls.
- Copy, reproduce, modify or distribute proprietary software without appropriate permission.
- Reverse engineer or attempt to extract source code from our proprietary products except where expressly permitted by applicable law.
- Use our services to infringe the rights of another person or organisation.
- Misrepresent your identity or authority.
4. Our Services
Pantheon Digital may provide services including software development, consulting, digital transformation, product development, design, technology implementation, integrations, cloud services, digital marketing and customer acquisition services.
The exact scope, deliverables, timelines, fees, responsibilities and service levels for a particular engagement will be defined in the applicable proposal, statement of work, order form, subscription agreement or other written agreement.
Website content describing our services is provided for general informational purposes and does not constitute a binding offer unless expressly stated otherwise.
5. Proprietary Products & Software
Pantheon Digital develops and operates proprietary software products and platforms.
These may include EcoTrace One, Zfour HRMS, and other Pantheon Digital products.
Unless otherwise agreed in writing:
Pantheon Digital grants an authorised customer or user a limited, non-exclusive, non-transferable and revocable right to access and use the applicable product in accordance with the applicable subscription, order or customer agreement.
You must not:
- Copy or reproduce the software except as permitted.
- Resell, sublicense or commercially exploit the software without authorisation.
- Reverse engineer, decompile or disassemble the software except where legally permitted.
- Attempt to bypass licensing, authentication or security mechanisms.
- Use the product to develop a competing product where prohibited by the applicable agreement.
- Permit unauthorised persons to access the product.
Additional product-specific terms may apply.
6. Accounts & Access
Certain Pantheon Digital products or services may require user accounts, credentials or authorised access.
Where applicable, you are responsible for:
- Providing accurate information.
- Maintaining the confidentiality of credentials.
- Restricting access to authorised users.
- Not sharing credentials improperly.
- Promptly notifying Pantheon Digital of suspected unauthorised access.
Pantheon Digital may suspend or restrict access where reasonably necessary to protect the security of the platform, users, data or services.
7. Customer Responsibilities
Customers are responsible for:
- Providing accurate and complete information required to deliver the services.
- Providing required approvals, access, content, data and technical information.
- Ensuring that their use of our services complies with applicable laws.
- Ensuring that they have appropriate rights and permissions to provide information or content to Pantheon Digital.
- Maintaining appropriate internal controls over authorised users.
- Using our products and services in accordance with applicable documentation and agreements.
Delays caused by missing information, approvals, access or dependencies outside Pantheon Digital's reasonable control may affect project timelines.
8. Customer Data
Where customers provide, upload or otherwise make data available to Pantheon Digital through our products or services:
- The customer remains responsible for ensuring that it has the necessary rights, permissions and lawful basis to provide that data to Pantheon Digital.
- Unless otherwise agreed in writing, customers retain their rights in their own data.
- Pantheon Digital may process customer data only to the extent reasonably necessary to provide, maintain, secure and improve the applicable services and to meet our contractual or legal obligations.
The handling of personal information is also subject to our Privacy Policy and, where applicable, a separate data-processing or customer agreement.
9. Intellectual Property
Pantheon Digital and its licensors retain all applicable rights in:
- Pantheon Digital software and platforms
- Proprietary products
- Source code
- Pre-existing technology
- Frameworks and methodologies
- Website content
- Brand names and trademarks
- Designs and visual assets
- Documentation
- Proprietary processes and know-how
Client Deliverables
Ownership or licensing of project-specific deliverables, source code, designs, documentation or other materials created for a customer will be governed by the applicable written agreement, statement of work or order.
Nothing in these Terms automatically transfers ownership of Pantheon Digital's pre-existing intellectual property.
10. Third-Party Services
Our website, products and services may integrate with or depend upon third-party services, platforms, APIs, infrastructure or software.
Examples may include hosting providers, communication platforms, analytics services, payment providers, APIs, cloud infrastructure and other technology services.
Third-party services may be governed by their own terms and privacy policies.
Pantheon Digital is not responsible for the independent operation, availability, security or policies of third-party services outside our reasonable control.
11. Fees, Payments & Taxes
Fees, payment schedules, subscription charges, implementation fees, renewal terms and other commercial conditions will be specified in the applicable proposal, order form, subscription agreement, statement of work or other written agreement.
Unless otherwise specified:
- Applicable taxes and statutory charges may be payable in addition to stated fees.
- Customers are responsible for making payments within the agreed payment period.
- Pantheon Digital may take appropriate action where payments remain overdue, including suspension of applicable services where permitted under the relevant agreement.
Any refund or cancellation rights will be governed by the applicable commercial agreement and applicable law.
12. Subscriptions, Renewal & Cancellation
Where Pantheon Digital provides subscription-based software or services, the applicable subscription agreement or order form will specify:
- Subscription period
- Fees
- Renewal terms
- User or usage limits
- Cancellation requirements
- Notice periods
- Termination rights
Where no separate commercial agreement exists, applicable subscription terms published or communicated by Pantheon Digital will apply.
13. Confidentiality
Each party may receive confidential or proprietary information belonging to the other party during a business engagement.
Each party agrees to use reasonable measures to protect confidential information and use it only for legitimate purposes associated with the relevant business relationship.
Confidentiality obligations do not generally apply to information that:
- Is publicly available without breach of an obligation.
- Was already lawfully known.
- Is independently developed without use of confidential information.
- Must be disclosed by law or lawful authority.
Specific confidentiality obligations may be established through a separate NDA or customer agreement.
14. Security & Data Protection
Pantheon Digital takes reasonable measures to protect information and maintain the security of its systems and services.
Pantheon Digital maintains ISO 9001 and ISO/IEC 27001 certifications, subject to the scope and validity of the applicable certifications.
Our security practices may include appropriate:
- Access controls
- Authentication and authorisation
- Security monitoring
- Infrastructure protection
- Backup and recovery measures
- Information security processes
- Risk management
- Confidentiality controls
No electronic transmission, storage or processing system can be guaranteed to be completely secure.

15. Website Content & Availability
We make reasonable efforts to keep our website and information accurate and available.

We do not guarantee that any particular product, service or technology solution will achieve a particular commercial, financial or operational outcome unless expressly agreed in writing.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Pantheon Digital will not be responsible for indirect, incidental, special, consequential or punitive losses arising from use of the website or services, including losses relating to business interruption, loss of profits or loss of opportunity.
Any specific limitation or cap on liability applicable to a customer engagement will be governed by the relevant written agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
18. Suspension & Termination
Pantheon Digital may suspend or restrict access to a website, product or service where reasonably necessary, including where:
- These Terms or applicable contractual terms are materially breached.
- Fees remain unpaid.
- There is a security risk.
- The service is being used unlawfully.
- Continued access could harm our systems, users or other customers.
Where appropriate, we may provide reasonable notice before suspension or termination.
Upon termination, applicable rights to access or use Pantheon Digital products and services will end, subject to any surviving rights or obligations contained in the applicable agreement.
19. Force Majeure
Pantheon Digital will not be responsible for delay or failure caused by circumstances beyond our reasonable control.
These may include:
- Natural disasters
- Acts of government
- War or civil disturbance
- Major infrastructure failures
- Internet or telecommunications failures
- Cybersecurity incidents affecting third-party infrastructure
- Power failures
- Pandemics or public emergencies
- Failures of third-party providers
Where reasonably possible, Pantheon Digital will take appropriate steps to mitigate the impact.
20. Changes to These Terms
Pantheon Digital may update these Terms from time to time to reflect changes to our services, products, business practices, technology or legal requirements.
When we update the Terms, we will revise the Last Updated date.
For material changes affecting existing customers, additional notice may be provided where appropriate.
Your continued use of the website after updated Terms are published constitutes acceptance of the revised Terms, subject to applicable law.
Specific customer agreements may contain separate change-management provisions.
21. Governing Law & Disputes
These Terms will be governed by the applicable laws of India, unless otherwise agreed in a written agreement between Pantheon Digital and a customer.
Any dispute arising from the use of the website or services will be subject to the applicable dispute-resolution and jurisdiction provisions contained in the relevant agreement.
Where no separate agreement applies, disputes will be subject to the jurisdiction specified by applicable law.
